ARTICLES OF INCORPORATION
OF
SELTIE HEALTH AND EDUCATIONAL SUPPORT ORGANIZATION (SHESO)
The undersigned, desirous of forming a non-profit Organization, under the Non-profit
Organization Law of the State of Texas, do hereby certify:
The name of said organization shall be Seltie Health and Educational Support
Organization, herein after interchangeably referred to as “SHESO” or the Organization.
The initial registered agent is Sherif Mohamed. The business address of the registered
agent is 8303 Southwest Freeway, Suite 600, Houston, Texas 77074. The place in which
the principal office of the Organization is to be located is City of Houston, in the County of
Harris, State of Texas.
Said Organization is organized exclusively for charitable, educational, cultural and
scientific purposes including:
a) Providing financial, material and other assistance to Silti Schools located in the
region of Silti, in the southern part of Ethiopia for the purpose of improving the quality of
education;
b) Contributing to the maintenance, renovation, improvement and expansion of school
buildings and related facilities at said locality;
c) Encouraging, supporting and rewarding outstanding Students, Exemplary Teachers
and other staff of the School and granting scholarships to deserving students;
d) Soliciting funds, equipments, materials, technical assistance and the like from
donor organizations and individuals for the sole purpose of accomplishing the above
mentioned objectives.
e) Cooperating with other organizations and individuals to attain its objectives and
promote economic development in the region when situations permit.
The following persons, elected by the general membership, shall serve on the initial Board
of Directors

No part of the net earnings of the Organization shall inure to the benefit of or be
distributable to its members, trustees, officers, or other private persons, except that the
Board of Directors shall be authorized and empowered to reimburse expenses reasonably
incurred for services rendered in furtherance of the purposes set forth in Article 3 above.
No substantial part of the activities of the Organization shall be the carrying on of
propaganda, or otherwise attempting to influence legislation. The Organization shall not
participate or intervene in any political campaign on behalf of or in opposition to any
candidate for public office. Notwithstanding any other provision of these Articles, the
Organization shall not carry on any other activities or exercise any powers that are not in
furtherance of the purposes of the Organization.
On account of dwindling membership, followed by financial exigency or bankruptcy, the
organization may be dissolved by a 2/3 vote of the registered membership at a duly called
meeting, with 2/3 of the members making up a quorum.
At no time should disharmony within the membership of the organization give legal
grounds for splitting any of the tangible or intangible assets of the Organization, as no
individual, or individuals, or groups shall be entitled to the exclusive right of ownership of
any of the said assets.
Upon the dissolution of the Organization, the Board of Directors, after paying or making
provision for the payment of all of the liabilities of the Organization, shall dispose of all of
the assets of the Organization in such manner, or to such organization or organizations
established and operated exclusively for charitable, educational, cultural or scientific
purposes as shall at the time qualify as an exempt organization or organizations under
Section 501 (c) (3) of the Internal Revenue Code of 1954 ( or the corresponding provision
of any future United States Internal Revenue Law) as the Board of Directors shall
determine. Any assets not so disposed of shall be disposed of by the Court of competent
jurisdiction of the County in which the principal office of the Organization is then located,
exclusively for such purposes or to such organizations as said court shall determine, which
are operated exclusively for such purposes.
The rights and obligations of the members and officers of the Organization shall be
spelled out in the Bylaws of the Organization.
The duration of the Organization shall be perpetual.
